Catalog ProSuite is operated by Stormforth LLC (“Stormforth,” “we,” “us,” or “our”). Catalog ProSuite refers to the app, service, website, product, and related features made available by Stormforth LLC.
General Terms
By accessing Catalog ProSuite or placing an order for Catalog ProSuite, you confirm that you are in agreement with and bound by the terms of service contained in the Terms of Service outlined below. These terms apply to the entire website and any email or other type of communication between you and Stormforth LLC about Catalog ProSuite.
Under no circumstances shall Stormforth LLC or the Catalog ProSuite team be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this site, even if Stormforth LLC, the Catalog ProSuite team, or an authorized representative has been advised of the possibility of such damages. If your use of materials from this site results in the need for servicing, repair or correction of equipment or data, you assume any costs thereof.
Stormforth LLC will not be responsible for any outcome that may occur during the course of usage of our resources. We reserve the right to revise Service features, resource usage rules, and related platform policies as described in these Terms and the policies incorporated by reference. These Terms of Service were initially generated with Termify and have been modified by Stormforth LLC.
These Terms incorporate and cross-link the Catalog ProSuite Privacy Policy, Acceptable Use Policy, and Billing Policy.
License
Stormforth LLC grants you a revocable, non-exclusive, non-transferable, limited license to access and use Catalog ProSuite strictly in accordance with the terms of this Agreement.
These Terms of Service are a contract between you and Stormforth LLC (referred to in these Terms of Service as "Stormforth," "us," "we" or "our"), the operator of the Catalog ProSuite website and the services accessible from the Catalog ProSuite website (which are collectively referred to in these Terms of Service as the "Catalog ProSuite Service").
You are agreeing to be bound by these Terms of Service. If you do not agree to these Terms of Service, please do not use the Catalog ProSuite Service. In these Terms of Service, "you" refers both to you as an individual and to the entity you represent. If you violate any of these Terms of Service, we reserve the right to cancel your account or block access to your account without notice.
Definitions and key terms
To help explain things as clearly as possible in these Terms of Service, every time any of these terms are referenced, are strictly defined as:
- Cookie: small amount of data generated by a website and saved by your web browser. It is used to identify your browser, provide analytics, remember information about you such as your language preference or login information.
- Company: when this policy mentions "Company," "we," "us," or "our," it refers to Stormforth LLC, 4030 Wake Forest Road, Ste 349 Raleigh, NC 27609 USA that is responsible for your information under these Terms of Service.
- Country: where Catalog ProSuite is based, in this case is United States.
- Device: any internet connected device such as a phone, tablet, computer or any other device that can be used to visit Catalog ProSuite and use the services.
- Service: refers to Catalog ProSuite as provided by Stormforth LLC and described in the relative terms (if available) and on this platform.
- Third-party service: refers to advertisers, contest sponsors, promotional and marketing partners, and others who provide our content or whose products or services we think may interest you.
- Website: Catalog ProSuite's site, which can be accessed via this URL: https://catalogprosuite.com
- You: a person or entity that is registered with Catalog ProSuite to use the Services.
Restrictions
You agree not to, and you will not permit others to:
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the website or make the platform available to any third party.
- Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the website.
- Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of Catalog ProSuite or its affiliates, partners, suppliers or the licensors of the website.
Billing, Refunds, and Credits
Subscription billing, renewals, cancellations, credits, refunds, taxes, payment processing, and Founder program terms are governed by the Catalog ProSuite Billing Policy, which is incorporated into these Terms by reference.
By consenting to, accepting, or agreeing to these Terms, you also consent to, accept, and agree to the Billing Policy. By purchasing a subscription, buying add-on credits, using credits, accepting Founder benefits, or continuing to use paid features, you agree to the Billing Policy in addition to these Terms.
Immediate upgrades may use Stripe proration and may replace, reverse, or offset overlapping lower-plan subscription credit grants for the same billing period so that one active plan allowance applies. Credits already used remain used. Downgrades are not currently applied immediately; to move to a lower plan, you must cancel the current subscription and choose the lower plan after the paid term ends.
Acceptable Use
Use of the Services is subject to the Catalog ProSuite Acceptable Use Policy, which is incorporated into these Terms by reference.
By consenting to, accepting, or agreeing to these Terms, you also consent to, accept, and agree to the Acceptable Use Policy. You agree not to misuse the Service, overload platform resources, abuse payments or promotions, infringe third-party rights, process unauthorized content, bypass limits, reverse engineer proprietary systems, or otherwise use Catalog ProSuite in a way that harms Catalog ProSuite, other users, third parties, or platform integrity.
Accounts, Authentication, and Clerk
Catalog ProSuite uses Clerk and related service providers to support account registration, authentication, session management, user profile data, security checks, account recovery, and related identity features. When you create an account, sign in, manage your profile, or use authentication features, you may interact with Clerk-controlled interfaces, scripts, cookies, sessions, or infrastructure, and your use of those features may also be subject to Clerk's applicable terms, privacy policy, and security practices.
You are responsible for keeping your account credentials, devices, sessions, and authentication methods secure. You agree to provide accurate account information, promptly update it when it changes, and notify us if you believe your account has been compromised. We may rely on information, tokens, identifiers, events, webhooks, or other records from Clerk to create, sync, secure, suspend, delete, or administer your Catalog ProSuite account.
Payments, Billing, and Stripe
Catalog ProSuite uses Stripe and related service providers to process payments, subscriptions, checkout sessions, invoices, taxes, receipts, payment method updates, refunds, disputes, fraud checks, billing records, and related financial operations. When you purchase a plan, buy credits, update payment information, or otherwise make a transaction, you may interact with Stripe-controlled interfaces, scripts, cookies, redirects, checkout pages, customer portals, or infrastructure, and your use of those features may also be subject to Stripe's applicable terms, privacy policy, and security practices.
Catalog ProSuite does not intentionally store full credit card numbers, card security codes, or full bank account credentials on our own systems. Stripe may provide us with limited billing information, such as customer identifiers, subscription status, invoices, receipts, payment status, payment method summaries, tax information, charge, refund, dispute, and fraud-related information, which we may use to operate the Service, maintain account entitlements, grant or revoke credits, prevent abuse, resolve support issues, comply with law, and keep business and tax records.
You authorize us and Stripe to charge the payment methods you provide for purchases, subscriptions, renewals, add-on credits, applicable taxes, and other amounts due. Unless stated otherwise at checkout, in the Billing Policy, or as required by law, subscriptions may renew automatically until canceled, and cancellation, refund, chargeback, failed payment, dispute, or suspected fraud may affect your access to paid features, credits, account status, or stored outputs.
Support Inquiries
You may submit support inquiries through the support tools or contact methods we make available from time to time. We may review, prioritize, respond to, resolve, decline, or close support inquiries in our discretion, including based on the nature of the request, account status, product usage, abuse prevention, operational capacity, and other business or technical considerations.
Support communications are provided as a convenience and do not create any service level agreement, guaranteed response time, guaranteed resolution, ongoing monitoring obligation, or commitment to provide support through any specific channel. We may modify, limit, suspend, or discontinue support channels or support practices at any time.
Customer Content and Output Ownership
You retain ownership of the images, product information, filenames, metadata, instructions, and other content you upload, submit, import, or process through the Service ("User Content"). Subject to your rights in the underlying User Content and any third-party rights, Catalog ProSuite does not claim ownership of your final exported images or generated outputs.
You are responsible for ensuring that you have all rights, licenses, permissions, consents, model releases, trademark permissions, and other authorizations required to upload, process, export, publish, or otherwise use User Content and outputs for your intended purposes.
You may not upload or process content that infringes or misappropriates another person's intellectual property, privacy, publicity, contractual, or other rights, including copyrighted images, brand assets, logos, packaging, trade dress, product photos, marketplace assets, or images of identifiable people unless you have the rights and permissions required by law and by any third-party platform where you intend to use the content.
License to Operate the Service
By using the Service, you grant Catalog ProSuite and its service providers a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, analyze, transform, generate previews from, create processing outputs from, export, display to you, and otherwise process User Content and outputs as necessary to provide, maintain, secure, troubleshoot, and support the Service.
This license includes the right to create and store processed images, masks, transparent cutouts, shadows, previews, exports, thumbnails, logs, and related processing artifacts. This license does not transfer ownership of your User Content or final exports to Stormforth LLC.
Service Improvement and AI Systems
Stormforth LLC may use User Content, generated outputs, processing artifacts, feedback, support communications, usage data, and related metadata to test, evaluate, monitor, maintain, secure, and improve the Service, including image-processing systems, automated tools, AI or machine-learning models, quality checks, abuse prevention, and future product features.
Where practical, Stormforth LLC may use de-identified, aggregated, sampled, or transformed data for these purposes. You should not upload content if you do not have the rights required to allow this use or if you do not want that content used for these purposes.
Prohibited Content and Uses
You agree not to upload, submit, process, export, publish, or distribute User Content through the Service that is unlawful, infringing, deceptive, abusive, defamatory, harassing, exploitative, invasive of privacy or publicity rights, or otherwise harmful. You may not use the Service to process malware, files intended to disrupt systems, content involving minors in a sexual or exploitative manner, non-consensual intimate imagery, unlawful surveillance imagery, or content that promotes illegal activity or violates the rights of any person or entity.
You may not use the Service to overload, disrupt, reverse engineer, bypass security or rate limits, probe system vulnerabilities, scrape non-public data, misuse signed URLs, interfere with other users, exploit free trials or promotions, abuse refunds or payments, create multiple accounts to evade restrictions, or attempt to access images, jobs, accounts, credits, exports, or other resources that do not belong to you. Additional prohibited activities and enforcement terms are described in the Acceptable Use Policy.
Automated Image Processing Results
Catalog ProSuite uses automated tools to process product images, including background removal, masks, shadows, exports, and related image transformations. Results may vary based on image quality, lighting, reflections, transparent or translucent objects, complex edges, low contrast, occlusions, file format, and other factors outside our control.
We do not guarantee perfect, repeatable, or consistent background removal or other image-processing results in every case. Automated or AI-assisted outputs may be incomplete, inaccurate, unsuitable for a particular marketplace or use case, visually inconsistent, or similar to outputs generated for other users. You are responsible for reviewing generated images before using, publishing, exporting, listing, advertising, or distributing them, and some images may require manual adjustment, correction, retouching, or reprocessing outside the Service.
Marketplace Compliance and Commercial Use
You are responsible for determining whether your User Content and outputs comply with the requirements of any marketplace, storefront, advertising network, social media platform, payment provider, fulfillment partner, or other third-party service where you use them, including Shopify, Amazon, Etsy, Walmart, Meta, Google Merchant Center, and similar platforms.
Catalog ProSuite does not guarantee that any image, export, listing asset, background, shadow, crop, size, file format, metadata, or other output will be accepted by a marketplace, improve search ranking, increase sales, improve conversion rates, satisfy advertising review, avoid takedowns, or meet any particular commercial result.
Advertising Platforms and Tracking Tools
Catalog ProSuite may use third-party advertising, analytics, remarketing, and conversion-measurement services, including services from Meta/Facebook, TikTok, Reddit, Google, and similar providers. These services may use pixels, tags, cookies, scripts, device identifiers, browser information, IP address, page views, clicks, referral URLs, checkout events, purchase or subscription events, hashed contact information, and other event data as described in the Privacy Policy.
Your use of Catalog ProSuite, including any interaction with ads, checkout pages, promotions, embedded tools, links, or third-party advertising platforms, may also be subject to the applicable provider's terms, privacy policy, advertising policy, business tools terms, data processing terms, and user controls. We are not responsible for the independent services, decisions, review outcomes, ad delivery, audience matching, data processing, or policy enforcement of Meta/Facebook, TikTok, Reddit, Google, or any other third-party advertising platform.
If you use Catalog ProSuite outputs, landing pages, tracking links, audiences, integrations, or campaign data with advertising platforms, you are responsible for complying with all applicable laws and platform requirements, including requirements related to notice, consent, cookies, personal information, sensitive data, prohibited content, ad claims, audience targeting, and conversion tracking.
Credits, Processing, and Refunds
Certain operations may consume credits, and different operations may require different credit amounts. Credit prices, operation costs, subscription allowances, promotional credits, expiration rules, included features, and billing terms may change as described in the Service, at checkout, in your account settings, or in the Billing Policy.
Credits are generally consumed when a processing operation is accepted, started, completed, or otherwise performed as described in the Service. If a processing operation fails due to an error in the Service, we may return, release, or credit back the applicable credits in our discretion or as required by the terms shown in the Service or the Billing Policy. Credits may not be returned solely because an automated output is visually imperfect, requires manual adjustment, or does not meet your subjective preferences, unless we state otherwise or applicable law requires it.
Plan credits are tied to the applicable billing period and do not create a cash balance. Subscription changes, cancellations, refunds, disputes, chargebacks, or abuse reviews may result in ledger entries that grant, replace, reverse, offset, expire, or otherwise reconcile credits as described in the Service and Billing Policy.
Storage, Retention, and Deletion
Stormforth LLC may store originals, generated outputs, previews, exports, metadata, processing records, account records, billing records, support communications, logs, and related data as needed to provide, secure, monitor, improve, bill for, and support the Service. Storage duration may vary by account status, feature, plan, legal requirement, operational need, backup cycle, and abuse-prevention need.
If you delete content or your account, we will take reasonable steps to delete or make unavailable the applicable content from active systems, subject to technical limits, legal obligations, dispute resolution, fraud and abuse prevention, billing records, backups, logs, and other legitimate business needs. Deleted content may persist for a limited time in backups or other systems where immediate deletion is not reasonably practicable.
Notifications and Email Subscriptions
Stormforth LLC may send service, account, billing, processing, export, product, and other subscription-based email notifications related to your account or use of the Service. Existing and additional subscription categories may be enabled automatically by default, including when we introduce new notification or subscription types.
You are responsible for reviewing and managing your email subscription preferences. Where preference controls or unsubscribe links are available, subscription categories must be manually disabled if you do not want to receive them, subject to any transactional, legal, security, billing, or account notices that we may still be required or permitted to send.
Founder Account Status
Founder status is an early-adopter account type and does not grant equity, ownership, co-founder status, governance rights, or other legal rights in Catalog ProSuite or Stormforth LLC.
Founder status is permanently tied to this account and is non-transferable. If this account has an active eligible subscription, Founder discounts apply on the next subscription.
If the subscription is canceled or inactive, the discount is suspended until an eligible subscription is reactivated. Deleting the account permanently forfeits Founder status and benefits.
Your Suggestions
Any feedback, comments, ideas, improvements or suggestions (collectively, "Suggestions") provided by you to Stormforth LLC with respect to Catalog ProSuite shall remain the sole and exclusive property of Stormforth LLC.
Stormforth LLC shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you.
Your Consent
We've updated our Terms of Service to provide you with complete transparency into what is being set when you visit our site and how it's being used. By using our website, registering an account, or making a purchase, you hereby consent to our Terms of Service.
Links to Other Websites
These Terms of Service apply only to the Services. The Services may contain links to other websites not operated or controlled by Stormforth LLC. We are not responsible for the content, accuracy or opinions expressed in such websites, and such websites are not investigated, monitored or checked for accuracy or completeness by us. Please remember that when you use a link to go from the Services to another website, our Terms of Service are no longer in effect. Your browsing and interaction on any other website, including those that have a link on our platform, is subject to that website's own rules and policies. Such third parties may use their own cookies or other methods to collect information about you.
Cookies
Catalog ProSuite uses "Cookies" to identify the areas of our website that you have visited. A Cookie is a small piece of data stored on your computer or mobile device by your web browser. We use Cookies to enhance the performance and functionality of our website but are non-essential to their use. However, without these cookies, certain functionality like videos may become unavailable or you would be required to enter your login details every time you visit the website as we would not be able to remember that you had logged in previously. Most web browsers can be set to disable the use of Cookies. However, if you disable Cookies, you may not be able to access functionality on our website correctly or at all. We never place Personally Identifiable Information in Cookies.
Changes To Our Terms of Service
You acknowledge and agree that Stormforth LLC may stop (permanently or temporarily) providing the Service (or any features within the Service) to you or to users generally at sole discretion, without prior notice to you. You may stop using the Service at any time. You do not need to specifically inform Stormforth LLC when you stop using the Service. You acknowledge and agree that if Stormforth LLC disables access to your account, you may be prevented from accessing the Service, your account details or any files or other materials which is contained in your account.
If we decide to change our Terms of Service, we will post those changes on this page, and/or update the Terms of Service modification date below.
Modifications to Our website
Stormforth LLC reserves the right to modify, suspend or discontinue, temporarily or permanently, Catalog ProSuite or any service to which it connects, with or without notice and without liability to you.
Updates to Our website
Stormforth LLC may from time to time provide enhancements or improvements to the features/functionality of Catalog ProSuite, which may include patches, bug fixes, updates, upgrades and other modifications ("Updates").
Updates may modify or delete certain features and/or functionalities of the website. You agree that Catalog ProSuite has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the website to you.
You further agree that all Updates will be (i) deemed to constitute an integral part of the website, and (ii) subject to the terms and conditions of this Agreement.
Third-Party Services
We may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services ("Third- Party Services").
You acknowledge and agree that Stormforth LLC shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. Stormforth LLC does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.
Third-Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.
Term and Termination
This Agreement shall remain in effect until terminated by you or Catalog ProSuite.
Stormforth LLC may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from Stormforth LLC, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the website and all copies thereof from your computer.
Upon termination of this Agreement, you shall cease all use of the website and delete all copies of the website from your computer.
Termination of this Agreement will not limit any of Stormforth LLC's rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.
Copyright Infringement Notice
If you are a copyright owner or such owner's agent and believe any material on our website constitutes an infringement on your copyright, please contact us setting forth the following information: (a) a physical or electronic signature of the copyright owner or a person authorized to act on his behalf; (b) identification of the material that is claimed to be infringing; (c) your contact information, including your address, telephone number, and an email; (d) a statement by you that you have a good faith belief that use of the material is not authorized by the copyright owners; and (e) the a statement that the information in the notification is accurate, and, under penalty of perjury you are authorized to act on behalf of the owner.
Indemnification
You agree to indemnify and hold Catalog ProSuite and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the website; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third party.
No Warranties
The website is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Stormforth LLC, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the website, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, Stormforth LLC provides no warranty or undertaking, and makes no representation of any kind that the website will meet your requirements, achieve any intended results, be compatible or work with any other software, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither Stormforth LLC nor any Stormforth LLC provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the website, or the information, content, and materials or products included thereon; (ii) that the website will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the website; or (iv) that the website, its servers, the content, or e-mails sent from or on behalf of Stormforth LLC are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of or limitations on implied warranties or the limitations on the applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you.
Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of Catalog ProSuite and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the website.
To the maximum extent permitted by applicable law, in no event shall Catalog ProSuite or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the website, third-party software and/or third-party hardware used with the website, or otherwise in connection with any provision of this Agreement), even if Catalog ProSuite or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
This Agreement, together with the Privacy Policy, Acceptable Use Policy, Billing Policy, and any other legal notices published by Stormforth LLC for Catalog ProSuite, shall constitute the entire agreement between you and Stormforth LLC concerning the Services.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute waiver of any subsequent breach.
No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Agreement shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein.
Amendments to this Agreement
Stormforth LLC reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Catalog ProSuite.
Entire Agreement
The Agreement constitutes the entire agreement between you and Stormforth LLC regarding your use of Catalog ProSuite and supersedes all prior and contemporaneous written or oral agreements between you and Stormforth LLC about Catalog ProSuite.
You may be subject to additional terms and conditions that apply when you use or purchase other Catalog ProSuite services, which Stormforth LLC will provide to you at the time of such use or purchase.
Updates to Our Terms
We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account.
Intellectual Property
The website and its entire contents, features and functionality, including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof, are owned by Stormforth LLC, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
Agreement to Arbitrate
This section applies to any dispute EXCEPT IT DOESN'T INCLUDE A DISPUTE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF YOUR OR STORMFORTH LLC'S INTELLECTUAL PROPERTY RIGHTS. The term "dispute" means any dispute, action, or other controversy between you and Stormforth LLC concerning the Services or this agreement, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. "Dispute" will be given the broadest possible meaning allowable under law.
Notice of Dispute
In the event of a dispute, you or Stormforth LLC must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: support@catalogprosuite.com. Stormforth LLC will send any Notice of Dispute to you by mail to your address if we have it, or otherwise to your email address.
Binding Arbitration
If you and Catalog ProSuite don't resolve any dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by binding arbitration as described in this section. You are giving up the right to litigate, or participate as a party or class member, all disputes in court before a judge or jury. The dispute shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.
Submissions and Privacy
In the event that you submit or post any ideas, creative suggestions, designs, photographs, information, advertisements, data or proposals, including ideas for new or improved products, services, features, technologies or promotions, you expressly agree that such submissions will automatically be treated as non-confidential and non-proprietary and will become the sole property of Catalog ProSuite without any compensation or credit to you whatsoever.
Promotions
Stormforth LLC may, from time to time, include contests, promotions, sweepstakes, or other activities ("Promotions") for Catalog ProSuite that require you to submit material or information concerning yourself. Please note that all Promotions may be governed by separate rules that may contain certain eligibility requirements, such as restrictions as to age and geographic location.
Additional terms and conditions may apply to purchases of goods or services on or through the Services, which terms and conditions are made a part of this Agreement by this reference.
Typographical Errors
In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment account in the amount of the charge.
Miscellaneous
If for any reason a court of competent jurisdiction finds any provision or portion of these Terms of Service to be unenforceable, the remainder of these Terms of Service will continue in full force and effect. Any waiver of any provision of these Terms of Service will be effective only if in writing and signed by an authorized representative of Catalog ProSuite.
Stormforth LLC operates and controls the Catalog ProSuite Service from its offices in Raleigh, North Carolina, USA. The Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.
